Terms & Conditions
These Terms & Conditions govern your use of the Designit website (designit.co.in) and any design engagement with Designit. Please read them carefully. By using this website or entering into a project with us, you agree to be bound by these terms.
1. Agreement & Acceptance
By accessing designit.co.in, submitting an enquiry, or signing a project proposal or contract with Designit, you ("the Client") agree to these Terms & Conditions in full.
These terms apply to all visitors, prospects, and clients. Formal project engagements are additionally governed by a separate, signed Statement of Work (SOW) or Project Proposal, which takes precedence over these general terms where there is any conflict.
Designit reserves the right to decline any enquiry or engagement at our discretion.
2. Services
Designit provides research-led product design services including, but not limited to:
- UI/UX Design (web and mobile)
- UX Research (user interviews, usability testing, competitor analysis)
- Product Strategy and Information Architecture
- Design Systems and Component Libraries
- Prototyping and Interaction Design
- SaaS Dashboard and Onboarding Design
- Design Audits and CRO (Conversion Rate Optimisation)
The specific scope of services for each engagement is defined in a written proposal or SOW agreed upon by both parties prior to commencement of work.
3. Engagement Process
Our standard engagement follows this process:
- Discovery call — a no-obligation 30-minute call to understand your project and goals
- Proposal — a written proposal outlining scope, deliverables, timeline, and pricing, sent within 48–72 hours
- Agreement — written confirmation (email or signed document) from the Client
- Advance payment — 50% of the project fee paid before work begins
- Kickoff — project starts within 3–5 business days of cleared payment
No work begins until both written agreement and advance payment are received. Verbal instructions alone do not constitute an agreement.
4. Payment Terms
Project-based engagements
- 50% advance — due before project kickoff (non-refundable once work has commenced)
- 50% on delivery — due upon delivery of final files, before transfer of intellectual property
Monthly retainers
- Billed monthly, in advance, on the 1st of each month
- A 30-day notice period is required to cancel a retainer
- Unused hours in a given month do not roll over
Overdue payments
If payment is not received within 7 days of the due date, Designit reserves the right to pause all active work and withhold final deliverables until the outstanding balance is cleared. Accounts overdue by more than 30 days may incur a late fee of 2% per month on the outstanding balance.
Currency and taxes
All prices are quoted in the currency specified in the proposal (INR, USD, AED, or GBP). Indian clients are subject to applicable GST. International clients are responsible for any taxes or duties applicable in their jurisdiction.
5. Revisions & Scope Changes
Our standard engagement includes 2–3 rounds of revisions per design stage as specified in the project proposal. Each revision round covers consolidated feedback — not sequential, single-comment changes.
What constitutes a revision
A revision round includes adjustments to layout, typography, colour, copy placement, or component sizing within the agreed design direction. It does not include changes to the fundamental concept, user flow, or scope of work.
Additional revisions
Revisions beyond the included rounds will be billed at our standard day rate as agreed in the proposal. We will always notify you before incurring additional charges.
Scope changes
Any request that falls outside the agreed SOW (new pages, additional features, additional research rounds, etc.) constitutes a scope change. Scope changes require a written amendment to the proposal and may affect the timeline and cost.
6. Intellectual Property
Client-owned IP (upon full payment)
Upon receipt of full and final payment, Designit assigns to the Client all rights, title, and interest in the final deliverables produced specifically for the engagement, including design files, assets, and source files.
Designit-retained IP (until full payment)
All work-in-progress, draft files, and deliverables remain the intellectual property of Designit until the final payment is cleared. The Client may not use, publish, or reproduce any deliverable prior to full payment.
Pre-existing IP and third-party assets
Designit retains ownership of any pre-existing tools, frameworks, methodologies, or design systems we bring to the engagement. Third-party assets (fonts, stock images, icons) used in the work are subject to their respective licences — the Client is responsible for obtaining appropriate commercial licences for continued use.
Website content
All content on designit.co.in — including text, images, case studies, and brand identity — is the property of Designit and may not be reproduced without written permission.
7. Client Responsibilities
A successful engagement requires active participation from the Client. By engaging Designit, the Client agrees to:
- Timely feedback — respond to design reviews and feedback requests within 48 business hours. Delays in feedback may extend project timelines proportionally
- Single point of contact — designate one primary contact person with authority to approve designs on behalf of the organisation
- Asset provision — provide brand assets, copy, content, access credentials, and any other materials required for the project in a timely manner
- Accuracy of information — ensure all brief information, business goals, and user insights shared with Designit are accurate to the best of your knowledge
- Legal compliance — ensure that any content, data, or requirements provided to Designit do not violate applicable laws or third-party rights
If the Client is unresponsive for more than 14 consecutive calendar days without prior notice, Designit reserves the right to pause or terminate the engagement, with fees billed for work completed to date.
8. Confidentiality
Both parties agree to keep confidential any non-public information shared during the course of an engagement, including business strategies, product roadmaps, user data, pricing, and proprietary processes.
This obligation applies during the engagement and for 2 years after its completion or termination.
Confidential information does not include information that:
- Is or becomes publicly available through no breach of this agreement
- Was already known to the receiving party prior to disclosure
- Is independently developed without reference to the confidential information
- Must be disclosed by law or court order (with prompt notice to the other party where legally permitted)

9. Portfolio & Marketing Rights
Unless otherwise agreed in writing, Designit reserves the right to:
- Display completed work in our portfolio, website, and case studies
- Reference the Client's company name and project type in our marketing materials
- Share screenshots or video walkthroughs of the finished design on social media and design platforms (Behance, Dribbble, LinkedIn)
We will not publish confidential business information, unreleased products, or proprietary data without explicit written permission.
If you require a non-disclosure of project work, please notify us in writing before signing the proposal. We accommodate confidentiality requests on a case-by-case basis — typically at no additional cost.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Designit's total liability to the Client for any claim arising out of or in connection with an engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
Designit shall not be liable for:
- Indirect, incidental, special, or consequential losses
- Loss of revenue, profit, data, or business opportunity
- Losses arising from the Client's use or misuse of delivered materials
- Losses caused by third-party tools, platforms, or services used in the project
- Delays caused by the Client's failure to provide timely feedback or materials
Designit makes no warranty that the design work will achieve specific business outcomes, conversion rates, or revenue targets. Design outcomes depend on many factors beyond our control, including implementation quality, market conditions, and user behaviour.
11. Termination
By the Client
The Client may terminate an engagement with 14 days written notice to contact@designit.co.in. Work completed to the date of termination will be billed and must be paid in full. The 50% advance is non-refundable once work has commenced.
By Designit
Designit may terminate an engagement immediately and without penalty if:
- The Client fails to make payment within 14 days of the due date
- The Client is unresponsive for more than 14 consecutive days
- The Client requests work that violates applicable law, third-party rights, or our ethical standards
- The Client engages in abusive or harassing conduct toward our team
In such cases, fees for work completed to date are due immediately. Designit will provide all work-in-progress files at the point of termination.
12. Governing Law & Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of India.
In the event of a dispute, both parties agree to first attempt resolution in good faith through direct negotiation. If a resolution cannot be reached within 30 days, either party may initiate formal proceedings.
Any dispute, controversy, or claim arising out of or relating to these terms or any engagement shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
International clients acknowledge that by engaging Designit, they consent to Indian jurisdiction for dispute resolution, without prejudice to any mandatory protections available under their local consumer or business law.
13. Changes to These Terms
Designit reserves the right to update these Terms & Conditions at any time. Changes will be posted on this page with a revised "Last updated" date.
For ongoing engagements, material changes to terms will be communicated via email with at least 14 days notice before taking effect. Your continued use of our website or services after that period constitutes acceptance of the updated terms.
